URSB Wipes 90,000 Companies Off Register in Major Compliance Crackdown

The Uganda Registration Services Bureau (URSB) has officially deregistered 90,000 companies that failed to meet key legal obligations under the Companies Act, marking one of the largest corporate compliance actions ever undertaken in the country.

According to URSB, the affected companies had previously been struck off the register after failing to file annual returns for five consecutive years, contrary to the requirements of Section 130(6) of the Companies Act, Cap. 106.
Following their removal from the register, the companies were granted a 12-month window to apply for restoration. However, thousands failed to take advantage of the opportunity, leading the Registrar of Companies to complete the deregistration process.

The bureau said the exercise is intended to maintain an accurate and credible companies register by removing inactive and non-compliant entities that no longer meet their statutory obligations.
Businesses, company directors and other stakeholders have been advised to confirm the status of their companies by checking the list of deregistered entities published on the URSB website.

URSB has also encouraged anyone seeking clarification or assistance regarding the exercise to visit any of its offices across the country or contact the bureau through its official communication channels.
The Registrar of Companies noted that maintaining compliance through timely filing of annual returns remains a legal requirement for all registered companies, warning that failure to do so could result in similar regulatory action in the future.
